Transaction support for buyers assessing an existing US money services business, its FinCEN registration, compliance history and state licensing footprint.
Deliverables are confirmed in your proposal and depend on the agreed scope.
What we prepare
A documented target profile, FinCEN registration and state-footprint review, due-diligence request list and transaction workplan. We identify compliance-history questions, provider dependencies and ownership-change requirements requiring specialist confirmation.
What we need from you
Your product, customer states, target permissions, acquisition budget, buyer ownership and source of funds. Explain the management plan and which bank, processor or technology relationships the business needs to retain.
Who decides
The parties agree the transaction; relevant state regulators decide any required change-of-control approvals. Banks, sponsors and processors separately reassess the relationship. A FinCEN registration number does not establish nationwide coverage.

What to verify in a US MSB target
An existing corporation with a current FinCEN registration may be marketed as a ready-made US MSB. That description does not show whether the target can lawfully support the buyer’s product, serve intended states, retain its accounts or satisfy counterparties after an ownership change.
Meridian helps the buyer move from headline claims to a documented target profile. We compare the public and seller-provided information with the intended business model and identify issues that require specialist legal, tax, accounting or technical review.
Four due-diligence layers
EntityFormation, good standing, cap table, managers, liens, contracts, tax and litigation disclosures.
RegistrationFinCEN status, renewal history, registered activities and regulator correspondence.
State licencesCurrent licence list, surrender or enforcement history, surety bonds and change-control rules.
OperationsAML files, customers, complaints, agents, accounts, technology and third-party dependencies.
Share purchase and change of control
Buying shares may preserve the same legal entity, but it does not avoid disclosure. State regulators, FinCEN records, banks, sponsors, processors and other counterparties may need updated beneficial ownership and management information. Some state licences can require advance approval before a controlling interest changes.
Completion should be sequenced around applicable change-of-control requirements. Closing first and notifying later can put licences and commercial relationships at risk.

We share live opportunities privately because availability and verified scope can change. No target is described as “fully operational” without supporting evidence and clear limitations.
Frequently asked questions
Does every US MSB have state licences?
No. Some businesses have no state money-transmitter licences; others have a limited or broad footprint. The public claims must be verified.
Can state licences transfer to a new owner?
The entity may remain the licensee in a share sale, but regulators can require notification or prior change-of-control approval.
Are bank and sponsor relationships included?
Only if the contract, provider and underwriting process allow continuation. They should never be assumed to transfer automatically.
