Deliverables are confirmed in your proposal and depend on the agreed scope.
What we prepare
A proposed ownership and operating map, jurisdiction options and an implementation sequence. We identify the formation, administration and banking workstreams, together with questions requiring qualified local legal or tax advice.
What we need from you
Your existing group chart, intended activities, shareholder and management locations, target markets and expected payment flows. Identify which entities will contract with customers, employ staff, own assets and manage operations.
Who decides
You select the structure after reviewing the relevant advice. Qualified advisers assess legal and tax questions; registries, corporate-service providers and financial institutions make their own filing and acceptance decisions.
Give each entity a clear purpose
Meridian helps map international ownership and operating arrangements before coordinating implementation. We look at what each proposed entity will do, who will control it and how contracts, payments and management responsibilities fit together.
The objective is a structure that can be explained clearly to founders, service providers and specialist advisers, with unresolved questions identified before formation work starts.
Typical use cases
Operating company plus holding company structures
Special purpose vehicles (SPVs) for investments, assets or individual projects
International ownership and group reorganisations
Separating operating, holding and higher-risk activities
Market-entry structures across more than one jurisdiction
Existing businesses may also need to review how a new subsidiary or acquisition fits into the group’s ownership, administration and banking arrangements.
What we assess before selecting jurisdictions
We start with the products or services, shareholder profile, management locations and target markets. We then map the proposed roles of each company: which entity signs customer contracts, employs staff, holds assets or receives and makes payments.
Banking needs and recurring administration should be considered alongside formation. Additional ownership layers need a practical purpose and supporting records that make the ultimate ownership understandable during onboarding.
Tax residence, substance, reporting and any regulated activity require assessment by appropriately qualified advisers in the relevant jurisdictions.
What Meridian coordinates
Jurisdiction and entity-route comparison
High-level ownership and operational structure mapping
Formation and implementation coordination
Banking and onboarding implications of the proposed structure
Introductions to qualified legal or tax advisers where specialist advice is required
To begin, share a current ownership chart if available, the commercial objective and the proposed changes. Identify any existing entities, accounts, contracts or approvals that the project needs to take into consideration.
For an acquisition project, licensed financial entity acquisition support provides a separate route for assessing available entities. Acquiring an entity, changing its ownership and obtaining any necessary approvals need their own review.
Corporate structuring questions
Do I need a holding company?
That depends on the ownership, investment and operating objectives. A holding entity brings additional administration and should have a defined role. We help frame the options for the relevant specialist review.
Can you work with an existing structure?
Yes. We can review the current arrangement at a high level and coordinate the proposed changes with relevant providers and advisers. Existing obligations and any required consents need to be assessed first.
Does the service include a legal or tax opinion?
Corporate structuring coordination does not replace jurisdiction-specific legal or tax advice. Any formal opinion or specialist advice should be separately scoped with an appropriately qualified adviser before implementation.
Planning a multi-entity structure?
Share the activity, ownership and target markets and we will outline a practical route for further assessment.
