Choose the right MSB route

“MSB” is used broadly, but the practical route depends on the country, activities, customer locations, payment flows and delivery model. A foreign-exchange platform, remittance business, payment intermediary and digital-asset business may face different registrations, provincial or state requirements and banking expectations.

Meridian begins with a scoping review rather than treating registration as a standalone certificate. We map the proposed activities, ownership, operating geography and launch timing, then coordinate the corporate and compliance work required for the selected route.

What an MSB launch may require

  • Business-model and regulated-activity analysis
  • Company incorporation or corporate restructuring
  • Beneficial-owner, director and key-person documentation
  • FINTRAC or FinCEN registration preparation, where applicable
  • AML/CTF policies, risk assessment, controls and record-keeping procedures
  • Compliance officer and operating-responsibility planning
  • Bank, EMI or payment-provider onboarding materials
  • Ongoing filing, renewal and compliance calendar planning

The exact scope is confirmed only after the intended activities and customer flows are reviewed.

Registration from scratch or an existing MSB?

From scratch

A new build offers a clean ownership and compliance history. It is generally more suitable where the founder can allow time for incorporation, registration, documentation and third-party onboarding.

Existing registered business

An acquisition can shorten parts of the corporate setup, but it is not a shortcut around due diligence. The target’s filings, ownership history, transaction record, compliance framework, liabilities and provider relationships require independent review. Regulatory notifications, new-controller checks and fresh bank underwriting may still be required.

Neither an MSB registration nor the purchase of a registered company guarantees a bank account, payment rails, state licences or permission to conduct every proposed activity.

Our working process

  1. Scope: activity, markets, users, currencies, transaction flow and ownership.
  2. Route: jurisdiction, new setup versus acquisition and material licensing dependencies.
  3. Build: corporate documents, registration file and proportionate AML materials.
  4. Readiness: operating narrative, forecasts, counterparties and provider-facing onboarding pack.
  5. Execution: submission coordination, responses to questions and next-step planning.

Clients can engage Meridian for a complete project or for selected components where a company and internal compliance team are already in place.

Frequently asked questions

Is an MSB registration a banking licence?

No. An MSB registration is not a banking licence and does not allow the business to represent itself as a bank.

Which is better: Canada or the United States?

It depends on the activities, customer markets, state exposure, operating substance and banking plan. We compare those factors before recommending a route.

Can Meridian guarantee registration or banking approval?

No. Authorities and financial institutions make their own decisions. Meridian prepares and coordinates the project but cannot guarantee approval or timing.
