What to verify in a US MSB target
An existing corporation with a current FinCEN registration may be marketed as a ready-made US MSB. That description does not show whether the target can lawfully support the buyer’s product, serve intended states, retain its accounts or satisfy counterparties after an ownership change.

Share purchase and change of control
Buying shares may preserve the same legal entity, but it does not avoid disclosure. State regulators, FinCEN records, banks, sponsors, processors and other counterparties may need updated beneficial ownership and management information. Some state licences can require advance approval before a controlling interest changes.
Completion should be sequenced around applicable change-of-control requirements. Closing first and notifying later can put licences and commercial relationships at risk.

Does every US MSB have state licences?
No. Some businesses have no state money-transmitter licences; others have a limited or broad footprint. The public claims must be verified.
Can state licences transfer to a new owner?
The entity may remain the licensee in a share sale, but regulators can require notification or prior change-of-control approval.
Are bank and sponsor relationships included?
Only if the contract, provider and underwriting process allow continuation. They should never be assumed to transfer automatically.
